SOFTWARE END USER LICENSE AGREEMENT ('EULA') THIS IS A LICENSE NOT A SALE. The license does not give any rights to the Purchaser in respect of the source code of the Ceragon Software and is without prejudice to any license fees provided for under any applicable Agreement or this EULA. The Purchaser will reproduce all confidentiality and proprietary notices on each of these copies. Except to the extent permitted by applicable mandatory law, the Purchaser may not otherwise copy, translate, modify, adapt, decompile, disassemble or reverse engineer the Ceragon Software. 4.5 Upon breach of any of the terms, conditions, or restrictions under the applicable Agreement or this EULA, the license granted hereunder shall forthwith automatically terminate and Ceragon, its affiliates, agents and suppliers shall have all rights and remedies available to them at law (including the right to immediate injunctive relief). 4.6 For the avoidance of any doubt, it is hereby agreed that, the list of features with which the Software may be available to the Purchaser to download upon its purchase of the Software, shall be those specified in the Software Specifications attached to the sale agreement to which this EULA is attached. It is important to note that the Software contains additional features, which are NOT part of the scope of the sale agreement to which this EULA is attached and for those additional features additional payment is required in accordance with Ceragon’s price list as may be in effect from time to time. Please note that any features which were not purchased are prohibited from use unless and until paid for under a separate agreement.

Any unauthorized use of a non-purchased feature shall be deemed as breach of Purchaser’s undertakings under this EULA and may result in legal proceedings taken against Purchaser. 4.7 PURCHASER SHALL USE THE SOFTWARE ONLY TO THE EXTENT THAT SUCH USE IS EXPRESSLY PERMITTED PURSUANT TO THIS SECTION 4. PURCHASER ACKNOWLEDGES THAT THE SOFTWARE IS REGULATED BY A LICENSE KEY. § 5 Warranties, Disclaimers and Exclusive Remedies 5.1 Ceragon represents and warrants that: (i) the Software shall conform in all material respects to the technical specifications contained in the documentation for a period of 90 days from the date of delivery; and (ii) with respect to the physical CD (the “CD”) and physical documentation, the same shall be free of defects in materials and workmanship for a period of 60 days from the date of delivery. During the relevant warranty period, Ceragon shall remedy defects in the Software or the CD or physical documentation, as the case may be, provided Purchaser has provided Ceragon with a written warranty claim detailing the defect and its manifestation.

Ceragon shall not be liable for any defects attributable to: (i) use of the Software, the CD and/or the physical documentation in violation of this EULA, Ceragon’s instructions and/or the documentation; or (ii) modifications or changes undertaken by Purchaser or on Purchaser’s behalf. For claims under this warranty, Ceragon shall, at its option, either repair or replace the defective CD or physical documentation and such replacement or repair shall be Purchaser’s sole remedy.

CERAGON DOES NOT GUARANTEE THAT THE PROGRAMS WILL PERFORM ERROR-FREE OR UNINTERRUPTED OR THAT CERAGON WILL CORRECT ALL PROGRAM ERRORS. TO THE EXTENT PERMITTED BY LAW, THESE WARRANTIES ARE EXCLUSIVE AND THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. § 6 Intellectual property rights 6.1 Title to the Ceragon Software and all patents, copyrights, design rights, trade secrets and other proprietary rights in or related to the Ceragon Software are and will remain the exclusive property of Ceragon and its licensors. 6.2 The Purchaser does not acquire any property rights in the Ceragon Software, except for the limited right of use as defined in the Agreement and/or this EULA.

The Purchaser will not take any action that jeopardizes the proprietary rights as defined in paragraph 6.1 above. 6.3 Ceragon (and its licensors) will own all rights in any copy, translation, modification, adaptation or derivation of the Ceragon Software, including any improvement or development thereof. § 7 Confidentiality 7.1 The Purchaser acknowledges that the Ceragon Software incorporates confidential and proprietary information developed or acquired by Ceragon.

The Purchaser will take all reasonable precautions necessary to safeguard the confidentiality of the Ceragon Software, including (i) those taken by the Purchaser to protect its own confidential information; and (ii) those which Ceragon or its licensors may reasonably request from time to time. The Purchaser will not allow the removal or defacement of any confidentiality or proprietary notice placed on items of Ceragon Software. 7.2 The Purchaser will not disclose, in whole or in part, any Ceragon Software to any person, except to those of its employees, agents or consultants who require access for the Purchaser's authorized use of the Ceragon Software. Before disclosing any of these items to such parties, the Purchaser will require that they expressly (i) recognize Ceragon's or its licensors' confidential and proprietary rights in the Ceragon Software; and (ii) agree to comply with the use and non-disclosure restrictions applicable to the Ceragon Software under these Software License Terms. 7.3 The Purchaser will have no confidentiality obligation with respect to any portion of the Ceragon Software that (i) the Purchaser independently knew or developed before receiving the Ceragon Software (as proven by the written records of the Purchaser); (ii) the Purchaser lawfully obtained from a third party under no obligation of confidentiality; or (iii) became available to the public other than as a result of an act or omission of the Purchaser or any of its employees, agents or consultants.

7.4 This confidentiality provision (§ 7) shall survive any termination of the Agreement and/or this EULA. § 8 Import And Export 8.1 The Purchaser shall comply at all times with all import and export restrictions applicable to the Software and the Documentation to assure that neither the Software, nor any direct product thereof, are exported or imported, directly or indirectly, in violation of applicable laws. § 9 Liability 9.1 Ceragon shall not be liable towards the Purchaser for any indirect or consequential damage, cost, loss or expense (including, without limitation, loss of use, loss of data, loss of revenue and claims of end users on account of loss of use or malfunction), howsoever arising under or pursuant to this EULA or the use or maintenance of the Ceragon Software. 9.2 In no event shall Ceragon’s total aggregate liability arising out of or relating to any applicable Agreement and this EULA or Purchaser’s use, operation or possession of the software or the documentation (including, but not limited to, claims for negligence, strict liability, breach of contract, misrepresentation, infringement or other contract or tort claims) exceed the amount of damages actually incurred by Purchaser up to the amount of the total fees, if any, paid by Purchaser to Ceragon during the twelve (12) month period immediately preceding the event giving rise to the claim. § 10 Termination 10.1 The Purchaser's right to use the Ceragon Software will terminate automatically if the Purchaser ceases to own, possess or operate the Ceragon Products. 10.2 The rights granted to the Purchaser under this EULA may be terminated by Ceragon upon a material breach by the Purchaser of any terms or conditions contained herein which is not remedied by the Purchaser within a reasonable period specified by Ceragon in a written notice drawing attention to the violation and requiring it to be remedied.

10.3 Termination by Ceragon shall be by written notice that is delivered to the Purchaser not less than 30 days prior to the effective date of termination specified in the notice. Said notice of termination shall be without effect if the Purchaser cures all breaches that gave rise to termination prior to the effective date of termination. 10.4 Upon termination, all rights granted in respect of the Ceragon Software to the Purchaser under this EULA will immediately cease and the Purchaser shall make no further use of the Ceragon Software.

Termination shall be without prejudice to any accrued rights and liabilities of the parties at the date of termination. 10.5 Upon termination, the Purchaser shall cease to use any copies made in accordance with paragraph 4.4 above, and such copies shall be destroyed. § 11 Assignment 11.1 The Purchaser may not assign, transfer or in any other way dispose over its rights and obligations under the Agreement and this EULA, without the prior written consent of Ceragon.

§12 Miscellaneous 12.1 The headings set out in this EULA are for convenience only and are not to be used in construing the meaning of any provision herein. 12.2 If any term of this EULA is declared by any judicial or other competent authority to be void, illegal or otherwise unenforceable, then the relevant provision shall be severed and the remaining provisions shall remain in full force and effect. However, in the event either party finds that the effect of the severance is to defeat the original intention of the parties, then such party shall have the right to terminate this license with immediate effect and the Purchaser shall cease the use of the Ceragon Software immediately. 12.3 This EULA shall be governed by and construed in accordance with the laws of England, excluding that body of law pertaining to conflicts of law. 12.4 No failure of either Party to exercise or enforce any of its rights under this EULA shall be deemed a waiver of future enforcement of that or any other provision. 12.5 All notices under this EULA shall be deemed effective immediately upon delivery if delivered personally, one business day after delivery if sent by facsimile with a confirmation to be sent by overnight courier, one business day after sending via a registered overnight carrier and three days after posting if mailed by registered, certified mail. 12.6 This EULA is the complete and exclusive agreement between the Parties with respect to the subject matter hereof, superseding and replacing any and all prior agreements, communications, and understandings (both written and oral) regarding such subject matter.

12.7 Purchaser agrees and acknowledges that any breach or threatened breach of this EULA may cause irreparable injury to Ceragon, for which monetary damages would be inadequate compensation; entitling Ceragon to obtain injunctive relief, in addition to all other remedies that may be available, in law, at equity or otherwise.
